Universal Terms of Service and End User License Agreement

1. Introduction and Acceptance

   Pearson Education, Inc. and its affiliates (collectively, "Pearson") provide you access to certain websites, applications, products, and services (as more particularly defined in Section 2, the "Services"), delivered via the Internet through your browser or mobile app. We use AI tools in our products and services. The Services may be accessed directly from Pearson, through your Institution, or via a third-party service.

   Your use of the Services is subject to: (a) this Universal Terms of Service and End User License Agreement (the “UTOS”) and all incorporated policies, including Pearson’s Acceptable Use Policy (“AUP”) and applicable Privacy Notices; (b) any product-specific terms presented at purchase, registration or within the applicable Service; and (c) any institutional licensing terms between Pearson and your Institution (all such terms, conditions, policies or Privacy Notices, collectively, the “Terms of Use”). These Terms of Use are incorporated by reference and form part of your binding agreement with Pearson.

   While your User Account (as defined in Section 5) may continue for an indefinite period of time during which you may enroll in or register for Pearson Products or Third-Party Products, your access to those specific Pearson Products through the Services is provided either on a subscription basis (each a "Subscription"), or for a fixed access period (each, an “Access Period” and, together with a Subscription, “Access”).

   By clicking “I accept” or “I agree” or by accessing or using the Services, you:

   • Represent that you have read and understood the Terms of Use;
   • Agree to be bound by the Terms of Use;
   • Agree to comply with all applicable laws, regulations and your Institution’s academic policies; and
   • Confirm you are an Authorized User.

   If you do not agree to the Terms of Use or are not an Authorized User, do not use the Services. If you have any questions about this UTOS, contact Pearson Support.

2. Definitions

   In addition to capitalized terms defined elsewhere in this UTOS, the following defined terms shall apply:

   "Applications" means all software, applications, and systems supporting or related to the Services.

   "Authorized Users" are individuals -- including students, and instructors, administrators or other representatives of Institutions-- who have lawfully gained access to the Services directly from Pearson, through an integrated Third-Party Service, or through an Institution.

   "Institution" means your school, employer, university, or other educational institution through which you access Pearson Products.

   "Marks" means Pearson’s or any third-party trademarks, service marks, or trade names appearing in or on the Services.

   "Pearson Products" means all course materials, e-books, online courses, content, products and services and other intellectual property (excluding Third-Party Products) provided through any applicable Services.

   “Services” means (a) Pearson’s websites and mobile applications; (b) Pearson Products; (c) Third-Party Products accessible through the Services; and (d) all Applications.

3. Privacy

   Pearson collects, processes and uses your personal information in accordance with the Privacy Notice applicable to each Service.

4. License Grant, Ownership and Restrictions

   (A) Limited License. Subject to your compliance with all Terms of Use applicable to the specific Services and any additional terms that may be established by your Institution or any Third-Party Service, Pearson grants you a limited, personal, non-transferable, non-exclusive, non-sublicensable license to access and use the Services for their intended purpose and for non-commercial, personal use only during your Access Period or Subscription. This license does not grant or assign you title or ownership in the Services.

   (B) Ownership and Reserved Rights. All parts of the Services -- including Pearson Products, Third-Party Products, and Applications – and all Marks displayed on the Services are the exclusive property of Pearson, its licensors and/or their respective third-party owners and are protected by U.S. and international copyright and other intellectual property laws. All rights not expressly granted in the Terms of Use are reserved by Pearson and its licensors.

   (C) Prohibited Uses. You may not, and you agree not to:

   i. Use the Services for any commercial purpose or in any manner not expressly authorized by the AUP or other Terms of Use;

   ii. Reproduce, redistribute, modify, publish or create derivative works from any part of the Services without Pearson’s prior written consent (except as permitted by the AUP);

   iii. Use robots, bots, spiders, crawlers, scripts, code, software, or any automated device, tool, or process to scrape, mine, access, acquire, copy, collect or monitor any content, data, or information from the Services without Pearson’s prior written permission; or

   iv. Display, disparage, dilute or misuse any Marks appearing on the Services, or use any confusingly similar marks in a way that misrepresents ownership or otherwise confuses the public. All permitted use of Marks inures to the benefit of the respective Mark owner.

   Some features of the Services may allow you to copy or download certain materials. The availability of this functionality does not waive the restrictions in this Section.

   (D) Text and Data Mining. Pearson reserves all rights to use its works, content, and data (collectively “Works”) for text and data mining (i.e. automated analysis to obtain or generate information), in accordance with Article 4(3) of Directive (EU) 2019/790 or other applicable law, directive or regulation. Use of Works for text and data mining without Pearson’s express written consent is prohibited to the fullest extent permitted by law.

5. User Accounts and Security

   (A) Account Eligibility and Registration. The Services are available only to Authorized Users.

   To access the Services, you must register for a user account ("User Account") (or use one you already have or that was already established for you by your Institution or a Third-Party Service). During registration, you will provide your first name, last name, valid email address and a unique username and password ("Account Credentials"), plus any additional information required by your Institution. To enroll in an online course, you may also need to provide your Institution name and course code. Pearson may use your Account Credentials to verify your account each time you access the Services.

   Age Restrictions:

   • If you are under 13, you may not register for or use the Services unless your parent or legal guardian creates a User Account or registers for you.
   • If you are 13 or older but under 18 (or your jurisdiction’s age of majority), you may not register or use the Services without parental or guardian consent, unless you are enrolled in an institution of higher education.
   • If a parent or guardian creates your User Account while you are a minor, they enter into this contract with Pearson on your behalf until you reach the age of majority, when the contract transfers to you.

   You may have only one active User Account at any given time. You agree to provide accurate and truthful information when creating a User Account and to promptly update it if it changes.

   (B) Credential Security. Your User Account is for your personal use only. You may not permit third-party access to the Services through your User Account unless Pearson expressly authorizes it. You are responsible for all activity on your User Account, including any use by a Pearson-approved third party.

   Keep your Account Credentials confidential. You agree not to:

   • Use anyone else’s Account Credentials; or
   • Share your Account Credentials with any third party or service, except an authorized Third-Party Service.

   You must take reasonable steps to protect your Account Credentials and immediately notify Pearson at Pearson Support  if you know or suspect your Account Credentials or any access codes have been lost, disclosed, or stolen.

6. Acceptable Use

   Use of the Services is subject to the terms of Pearson’s AUP, which is incorporated by reference. Violation of the AUP may result in suspension or termination of your Access under Section 13.

7. User Content

   The Services may permit Authorized Users to create, upload, or post content, such as questions, responses, comments, multimedia content, chat logs, messages, and other materials ("User Content"). Pearson is not required to screen, edit, or review User Content before it appears, and User Content does not reflect Pearson’s views. To the fullest extent permitted by law, Pearson is not responsible or liable for User Content (including loss thereof) or for any claims, damages, or losses arising from its appearance, use, or loss. User Content may be visible to other users of the Services. Pearson reserves the right (but has no obligation) to monitor and remove User Content that it believes, in its sole discretion, violates the applicable Terms of Use, or should otherwise be removed.

   You represent and warrant that your User Content: (1) does not contain viruses or other harmful code; (2) does not include defamatory, indecent, offensive, tortious, unlawful, or otherwise improper material; and (3) will not be used to carry out, promote, or solicit unlawful activity or make commercial solicitations (collectively, “Prohibited User Content”). You also represent and warrant that you have all necessary rights to use and post the User Content in connection with the Services and that your User Content does not infringe any third party’s intellectual property, proprietary, or other rights. If you post User Content owned by a third party, you represent and warrant that you have the right to let Pearson make that User Content available to users to the same extent as other materials provided with the Services. You agree to include appropriate copyright notices for any User Content where you or a third party claims copyright.

   By creating, posting, uploading, or linking to User Content, you grant Pearson a perpetual, royalty-free, irrevocable, non-exclusive, sublicensable, transferable, worldwide license to use, host, store, reproduce, display, transmit, modify, adapt, publish, perform, translate, and distribute your User Content (in whole or in part) and any derivative works thereof and to incorporate it into other works, in any form, media, or technology now known or later developed.

   Additional terms presented in the user interface when posting User Content supplement this UTOS and are equally binding.

8. Feedback and Unsolicited Submissions

   (A) Product Feedback. Pearson welcomes feedback regarding existing Pearson Products and the Services, which may be provided here. You acknowledge that all right, title, and interest in such feedback become the exclusive property of Pearson and may be used for its business purposes without any payment or accounting to you.

   (B) Unsolicited Submissions. Pearson does not accept, review, or consider unsolicited ideas, works, materials, proposals, suggestions, artwork, or content (collectively, “Submissions”) other than product feedback described above. Do not send Submissions to Pearson or its employees or contractors. If you nonetheless submit them, you agree that:

   i. Your Submissions and all related intellectual property rights become the exclusive property of Pearson, without compensation to you;

   ii. Pearson may use or redistribute your Submissions for any purpose and in any way without restriction;

   iii. Pearson has no obligation to review your Submissions; and

   iv. Pearson has no obligation to keep Submissions confidential.

9. Third-Party Services and Products

   The Services may include features provided by third-party service providers (“Third-Party Services”) and/or allow you to access or purchase third-party websites, applications, content, products, or services (“Third-Party Products”). Your use of any Third-Party Service or Third-Party Product may be subject to separate terms, conditions, and policies (“Third-Party Terms”). You should review the Third-Party Terms before using any Third-Party Services or Products.

   Disclaimer: Pearson does not endorse and is not responsible or liable for any Third-Party Services or Products, including their availability, content, accuracy, integrity, quality, or any errors, omissions, violations of third-party rights, or unlawful conduct associated with them. The Terms of Use govern only the portions of the Services hosted on Pearson’s (or its service provider’s) servers, not third-party servers. If a link is non-functional, please contact Pearson Support.

10. Service Availability and Changes

    (A) General Availability. The Services are offered via the Internet, so availability may vary based on technical factors, maintenance, and changes as described below.

    (B) Factors Affecting Access. The scope and availability of the Services may depend on:

    i. Product-specific terms presented at purchase or registration;

    ii. The specific Pearson Product you access; and

    iii. Any licensing terms between Pearson and your Institution.

    Pearson is not responsible for access limitations caused by Third-Party Services or by account settings or restrictions set by your Institution.

    (C) Technical requirements and access duration. You are responsible for obtaining Internet access and meeting the technical requirements (hardware, operating system, browser) necessary to use the Services. You may access a Pearson Product through the Services only during the Subscription or Access Period you purchased (whether or not you actually use the Services during that time). Institution-provided access may be available for a different period.

    (D) Maintenance and interruptions. Pearson will use reasonable efforts to maintain Service availability for Authorized Users with active Access. The Services may be temporarily unavailable due to scheduled or emergency maintenance, or events outside Pearson’s control (including Internet disruptions or security threats).

    (E) Service Changes. Pearson may, at any time and with or without notice:

    i. Restrict access to the Services;

    ii. Discontinue any Service (or any feature or content) temporarily or permanently; or

    iii. Replace any Service (or any feature or content) with a new, revised, or updated version.

    (F) Notice of Material Service Changes. If Pearson makes a change that materially alters the scope or functionality of the Services made available to you (“Service Change”), Pearson will make reasonable efforts to notify you via email or by posting notice within the Services. If you believe a Service Change materially and adversely affects you, you may terminate your Access under Section 13(B), and you must notify Pearson at Pearson Support within thirty (30) days after receiving notice to preserve any potential refund rights. For questions, contact Pearson Support.

    (G) Unredeemed access codes or credits. If Pearson discontinues a Service for which you have an unredeemed access code or credit, Pearson may, in its sole discretion:

    i. Provide a substantially similar service;

    ii. Issue a credit toward another Pearson Product; or

    iii. Refund the purchase price paid for the access code or other credit.

11. Changes to Terms of Use

    Pearson may update this UTOS, the AUP, Privacy Notices, or any other Terms of Use at any time. Notice of material changes will be posted within the Services or communicated via your registered email address. Changes are effective immediately upon posting. Your continued use of the Services thereafter constitutes your acceptance of the revised Terms of Use.

    If you do not agree to any Terms of Use change, you must stop using the Services and may terminate your Access under Section 13(B). For questions, contact Pearson Support.

    (Note: Changes to Service functionality or availability are governed by Section 10, not this Section.)

12. DMCA and Prohibited Content Reporting

    (A) Copyright Infringement (DMCA). If you believe content on the Services infringes your copyright, please send a written notice (a “Notice”) to Pearson’s Designated Agent:

    To be effective, your Notice must include:

    • The physical or electronic signature of the copyright owner or the owner’s authorized representative (the “Complaining Party”) and reasonably sufficient contact information (address, telephone number, and email address, if available).
    • Identification of the allegedly infringing material (the “Infringing Material”) and information reasonably sufficient for Pearson to locate it. Also identify the copyrighted work claimed to be infringed (the “Infringed Material”). If one Notice covers multiple works, include a list specifying which Infringing Material relates to which Infringed Material.
    • A statement that the Complaining Party has a good faith belief that the use is not authorized by the copyright owner, the owner’s agent, or the law.
    • A statement that the information in the Notice is accurate and, under penalty of perjury, that the Complaining Party is the owner (or authorized to act for the owner) of the allegedly infringed exclusive right.

    (B) Reporting Other Prohibited Content. Report Prohibited User Content or links to inappropriate content to pearsondmca.agent@pearson.com. To help Pearson respond quickly, include:

    • The URL of the Pearson page where you found the content
    • The URL of the linked page (if applicable)
    • A description of the content and why you believe it is prohibited
    • Your contact information (optional, but helpful for investigation).

13. Termination

    Subject to product-specific terms, you or Pearson may cancel or suspend your Access pursuant to the following termination terms:

    (A) Trial Access. On a case-by-case basis, certain Services may be made available to you without charge for a trial period, typically for up to fifteen (15) days ("Review Period"). At the end of the Review Period, access to the applicable Services will terminate unless you make payment before the Review Period expires.

    Pearson may, in its sole discretion, immediately terminate or suspend your access during the Review Period if it reasonably determines that you are using the Review Period as a substitute for a paid Service. If your access is terminated for non-payment and later reinstated upon receipt of payment, your reinstated access remains subject to the UTOS.

    (B) Termination by You. Subject to account restrictions imposed by your Institution or a Third-Party Service, you may terminate your User Account at any time by contacting Pearson Support. Terminating your User Account will terminate all access to Services associated with that User Account.

    (C) Termination by Pearson. Pearson may, in its sole discretion, with or without advance notice, and/or at the request of your Institution, suspend or terminate your User Account and/or your Access to all or any part of the Services, or take appropriate legal action, for any conduct or use (whether by you or anyone else using the Services under your User Account) that Pearson reasonably believes (i) violates the UTOS or AUP; or (ii) has or is likely to otherwise cause harm to Pearson, the Services or any other users.

    (D) Effect of Termination. Upon suspension or termination of your Access to a Service, you must immediately stop accessing the applicable Services. In addition:

    i. Any User Account information, data, settings, specifications, or customizations specific to your User Account may be permanently lost.

    ii. User Content and other user information associated with your use of the Services, may still be accessible by your Institution or, if posted in a public forum, by other users.

    iii. Survival. The AUP and Sections 7 (User Content), 15 (Indemnification), 16 (Governing Law) and 18 (General Provisions) survive termination.

    Termination of your Access to a Service does not automatically terminate your User Account.

    (E) Refunds and Remedies. Subject to Section 14 (Disclaimers and Limitation of Liability) and applicable law, Pearson’s liability to you and your sole and exclusive remedy for any claim arising from the Services is, in Pearson’s sole discretion:

    i. Restoration of access to the Services for which you purchased Access; or

    ii. A pro rata refund of any fees paid directly by you to Pearson for the applicable Service, Subscription, or Access Period.

    Refund Eligibility. Unless product-specific terms provide otherwise, refunds are available only for purchases made directly from Pearson's website by an Authorized User and must be requested in writing within fifteen (15) days after registration.

    Refunds are not available for:

    i. Lost or stolen access codes;

    ii. Purchases made through third parties (e.g., campus bookstores); or

    iii. Access provided by your Institution.

    If you are dissatisfied or wish to request a refund, contact Pearson Support.

14. Disclaimers and Limitation of Liability

    Except as prohibited by applicable law, the following warranty disclaimers and limitations of liability apply.

    (A) Warranty Disclaimers.

    YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

    (1) (a) YOUR USE OF THE SERVICES IS AT YOUR OWN RISK; (b) THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS; AND (c) PEARSON AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

    (2) NEITHER PEARSON NOR ITS LICENSORS MAKE ANY WARRANTY THAT: (a) THE SERVICES WILL MEET YOUR REQUIREMENTS; (b) THE SERVICES WILL BE UNINTERRUPTED, AVAILABLE FOR ANY LENGTH OF TIME, SECURE, OR ERROR-FREE; (c) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (d) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; or (e) ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED.

    (3) (a) ANY MATERIAL UPLOADED/DOWNLOADED OR OTHERWISE OBTAINED FROM THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK; AND (b) NEITHER PEARSON NOR ITS LICENSORS SHALL BE LIABLE, AND YOU WILL BE SOLELY RESPONSIBLE, FOR ANY AND ALL LOSS OR CORRUPTION OF DATA UPLOADED OR INPUT BY YOU THROUGH THE USE OF THE SERVICES, AND FOR ALL SERVICING, REPAIR, OR CORRECTION AND ANY DAMAGE TO YOUR HARDWARE AND SOFTWARE THAT MAY RESULT FROM THE USE OF THE SERVICES.

    (B) Limitation of Liability.

    (1) NOTHING IN THIS UTOS IS INTENDED TO EXCLUDE OR LIMIT ANY CONDITION, WARRANTY, RIGHT, OR LIABILITY THAT MAY NOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE LAW. ACCORDINGLY, ONLY THE LIMITATIONS THAT ARE LAWFUL IN YOUR JURISDICTION WILL APPLY TO YOU.

    (2) IN NO EVENT SHALL PEARSON OR ITS EMPLOYEES, AGENTS, LICENSORS, OR CONTRACTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE OF DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (a) THE LOSS OF DATA AND/OR THE USE OF OR INABILITY TO USE THE SERVICES; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICES; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES; or (e) ANY OTHER MATTER RELATING TO THE SERVICES. PEARSON'S MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH THE SERVICES WILL IN NO EVENT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SPECIFIC SERVICES FROM WHICH THE LOSS ARISES. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT, OR OTHERWISE, OR IF ANY OF THE LIMITED REMEDIES IN THIS UTOS FAIL THEIR ESSENTIAL PURPOSE.

    (3) NO ACTION, REGARDLESS OF FORM, ARISING UNDER THIS UTOS MAY BE BROUGHT BY YOU MORE THAN ONE YEAR AFTER THE FACTS SUPPORTING THE CAUSE OF ACTION HAVE BECOME KNOWN, OR REASONABLY SHOULD HAVE BECOME KNOWN, TO YOU.

15. Indemnification

    Subject to Section 14 (Disclaimers and Limitation of Liability) and applicable law, you agree to defend, indemnify, and hold harmless Pearson and its employees, officers, agents, contractors, and licensors from and against any claims, damages, expenses, attorneys’ fees, and other liabilities arising out of or relating to: (1) your use or misuse of the Services; (2) your violation of this UTOS, the AUP, or any other applicable Terms of Use; (3) your User Content (including any claim that it is Prohibited User Content or infringes or misappropriates any third party right); (4) your violation of any applicable law or regulation; or (5) your breach of any representation or warranty, including those in Section 17 (Export Controls).

16. Governing Law and Dispute Resolution

    This UTOS and any dispute, claim or controversy arising from or relating to your use of the Services (each a "Claim") shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles, and shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

    You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York for any Claim.

17. Export Controls

    Your use of the Services, Applications, and related technology is subject to U.S. and other applicable export control and economic sanctions laws and regulations (“Export Laws”). You agree to strictly comply with Export Laws and that you are responsible for obtaining any required authorizations to export, re-export, import, or otherwise transfer the Services, Applications, or related technology.

    You represent and warrant that (1) you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and (2) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree not to transfer, directly or indirectly (including electronically), any part of the Services to any country, or to any agent, representative, or foreign national of any country, where an export license is required or where exports are otherwise restricted under Export Laws.

18. General Provisions

    Order of precedence. If additional terms governing your purchase of, access to, and/or use of specific Services conflict with this UTOS, those product-specific terms control.

    Assignment. You may not assign, transfer, or delegate your User Account or any of your rights or obligations under the Terms of Use. Pearson may assign or delegate its rights or obligations under the Terms of Use, in whole or in part, subject to any agreement between Pearson and your Institution.

    Severability. If any provision of the Terms of Use is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

    Entire agreement; changes. The Terms of Use are the entire agreement between you and Pearson regarding the Services and may not be modified by you unless in a written agreement signed by you and Pearson.

    Section headings. The section headings in this UTOS are for your convenience only, and do not have any legal meaning or effect.

    Waiver. If Pearson waives or fails to enforce any term on one or more occasions, that does not waive Pearson’s right to enforce that term (or any other term) later.
